1. Acceptance of Terms

By accessing and using Priceopia ("the Service"), you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use the Service.

2. Description of Service

Priceopia is a competitor price tracking service that monitors publicly available e-commerce product pages for changes in price, stock availability, and content. We provide email alerts and analytics based on detected changes. The Service is designed for store owners to monitor competitor pricing on publicly accessible web pages.

3. Eligibility & Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to provide accurate information when creating your account and to keep it updated.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You may not use Priceopia to monitor data you do not have a legitimate right to track, or to engage in any activity that violates applicable laws or third-party rights. Specifically, you agree that you will not:

• Use the Service to monitor pages behind login walls or paywalls without authorisation
• Use the Service to infringe upon any third party's intellectual property rights
• Resell, redistribute, or sublicense data obtained through Priceopia without our written consent
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in a manner that could damage, disable, or impair the Service

5. Subscriptions & Billing

Priceopia offers a free plan and paid subscription plans (Starter, Pro, and Max). Subscription fees are billed in advance on a monthly recurring basis. By subscribing to a paid plan, you authorise us to charge the applicable fees through our payment processor to your designated payment method.

• Billing cycle: Fees are charged at the beginning of each billing cycle (monthly from the date of upgrade).
• Upgrades: Upgrades take effect immediately and you will be charged a prorated amount for the remainder of the current billing cycle.
• Downgrades: Downgrades take effect at the start of your next billing cycle.
• Cancellation: You may cancel at any time. Cancellation stops future billing but does not entitle you to a refund for the current billing period except as outlined in our Refund & Cancellation Policy.
• Price changes: We may change subscription fees with at least 30 days' notice. Existing subscribers will be charged the new rate at the start of their next billing cycle.

6. Payment Processing

All payments are processed by our Merchant of Record, a third-party payment processor that handles billing, tax collection (including VAT and sales tax), and payment processing on our behalf. By making a payment, you agree to the payment processor's terms of service and privacy policy. Your payment data is handled by the payment processor and its partners; Priceopia does not store your full card details.

7. Data Collection & Monitoring Disclaimer

Priceopia monitors publicly available e-commerce product pages. We do not access pages behind authentication, paywalls, or login requirements. We respect robots.txt directives and website terms of service. The data we collect consists of publicly displayed product information (prices, stock status, product titles) and does not include personal data of third parties. You are responsible for ensuring that your use of the Service complies with applicable laws in your jurisdiction.

8. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Priceopia and is protected by intellectual property laws. You retain ownership of the product URLs you submit for tracking. Data generated by the Service (analytics, alerts, reports) is provided to you under a limited licence for your internal business use.

9. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or changes that temporarily affect availability. We are not liable for downtime caused by factors beyond our control, including third-party website changes, network issues, or force majeure events.

10. Limitation of Liability

Priceopia is provided "as is" and "as available" without warranties of any kind, express or implied. We are not liable for any indirect, incidental, consequential, or special damages arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Priceopia in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Priceopia from any claims, damages, or expenses arising from your misuse of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time by deleting it from your dashboard. Upon termination, your data will be retained for 30 days and then permanently deleted, unless required by law.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in India.

14. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
